Additional information

This paper demonstrates that through a phenomenological constructivist perspective, a qualitative research design can offer new insights into corporate governance phenomenon. Being based on a grounded theory analysis of 58 semi-structured interviews, this paper has responded to calls for empirical research in corporate governance that takes into account the institutional environment where it is embedded as well as seeking meaningful evidence that can improve practice.
