English abstract
This study analyses the legal liabilities of underwriting banks for misstatements in registration documents and public offering prospectuses in the wake of the accounting scandals of the last decade in the United States and Europe. The study offers an economic analysis of underwriter liability principles, and focuses particularly on the extensive US case-law concerning ss. 11-12 of the Securities Act 1933 and s. 10(b) of the Securities Exchange Act 1934, and on the relevant underwriter liability rules in European, German and private international law.
