Since the UK joined the EU in 1972 its law on corporate representation has been subject to continuous reform. While the common law had aimed to protect shareholders by upholding constraints on directors’ authority, the implementation of the First Company Law Directive (68/151/EEC) required a policy shift in favour of commercial certainty. The Companies Act 2006 provides the latest attempt to resolve this tension. This article argues, however, that problems will persist as long as the UK seeks to reduce European influences to a minimum and is unwilling to embed the requirements of the Directive into a coherent legislative framework.
